Strategic capital preparation & structuring support

So your financing project holds up under scrutiny.

Professional capital providers examine structure, figures and documentation before they discuss a project. Zumsteg Consulting puts those foundations in order before you enter that conversation.

Raphael Zumsteg, Gründer und Managing Director von Zumsteg Consulting.

Role in the mandate

  • Advice on the company side
  • Preparation and structuring
  • Communication after documented approval

Starting position

Most projects fail on the preparation.

Figures, structure and documents have to tell the same story. Where they do not, the review ends early and a second conversation never happens. We order your starting position and show what is still missing before the first investor contact.

Geprüft wird

  • Company information
  • Financial figures
  • Use of funds
  • Project structure
  • Communication

What professional capital providers look at first, and what most often stays open.

  • Structure

    What is checked
Whether objective, financing structure and use of funds connect in a way that can be followed.
    Often open
The financing idea exists, the structure is not yet documented.
  • Documentation

    What is checked
Whether pitch deck, executive summary and figures tell the same story.
    Often open
Documents exist but are inconsistent with each other.
  • Review readiness

    What is checked
Whether data, contracts and key figures are ordered for further review.
    Often open
Information sits in different places without a shared system.
  • Communication

    What is checked
Whether it is clear who approves what and who speaks externally.
    Often open
Approval and responsibility processes are not yet defined.

Preparation status

Five areas of preparation

Before the first investor conversation, objective, figures, structure and documents have to fit together. We work through five areas until each one holds.

Select an area of preparation

Area 01 / 05

Objective and financing context

A clearly defined objective and a clean financing context are the basis for every further step. We clarify what the capital is for and which conditions apply.

Central questions

Capital requirement
amount, timing, intended use
Financing occasion
growth, acquisition, project, refinancing
Target structure
debt, equity, hybrid structure
Time horizon
timing of funds, term, repayment
Starting position
existing financing, relevant restrictions

Result of this area

A defined financing framework as the basis for further structuring.

Area 02 / 05

Company and financial information

External counterparties first check whether company information and figures fit together. We order what exists and make open points visible.

Central questions

Legal basis
commercial register extract, articles of association, shareholder structure
Organisation
organisational chart, management profile
Annual figures
last two annual accounts, current interim figures
Current figures
trial balance, open items, liquidity planning
Liabilities
bank liabilities, loans, leasing contracts

Result of this area

An ordered and internally consistent body of information. Responsibility for accuracy and completeness stays with the client.

Area 03 / 05

Capital and project structure

The project itself has to be described clearly: what is financed, how the funds are used and what substance sits behind it.

Central questions

Project
project description, business plan, reference projects
Use of funds
investment plan, use-of-funds plan, project budget
Timeline
schedule, milestones, current project status
Substance
machinery, real estate, existing valuations
Collateral
collateral and encumbrance overview, insurance

Result of this area

A project and use-of-funds structure that can be followed. Legal, tax and regulatory review is not part of the service.

Area 04 / 05

Documentation and storyline

From the ordered body of information comes a presentation that carries the same statement in every document and every figure.

Central questions

Positioning
differentiator, market position, target market
Evidence
track record, references, revenue history, sector experience
Perspective
growth and expansion strategy, long-term vision
Openness
risks and mitigations, current challenges
Material
image rights, existing presentations, design guidelines

Result of this area

A consistent storyline and the documents derived from it, in German and English on request.

Area 05 / 05

Approval and communication processes

Nothing goes out without documented approval. Responsibilities, recipients and templates are defined beforehand.

Central questions

Responsibility
approvers, contacts, deputies
Recipients
selection criteria, recipient list, approval per recipient
Templates
first outreach, communication sequence, follow-up
Follow-up
CRM structure, communication status, next steps
Boundary
no acceptance of subscription or investment orders

Result of this area

Documented approvals and traceable communication. Substantive conversations and negotiations run directly between the company and the third party.

Fields of work

Four fields of work in mandate preparation

The four fields of work interlock. They describe what is worked on in a mandate. They do not set a fixed order.

Documents for the external dialogue

From your information we build documentation that holds up under professional review. Depending on the starting position and the agreed scope this includes the pitch deck, executive summary and key figure overview.

The covers shown come from completed mandates. Company names, logos and brands have been obscured; contacts and contact details removed. The display shows how the documents are built and designed, not individual mandates.

  • 01 Pitch deck Structure for the first conversation
  • 02 Executive summary Condensed written version
  • 03 Key figure and information overview Consolidated presentation
  • 04 Communication material Templates for outreach and follow-up
  • 05 Due diligence structure Ordered filing and overview structure

Sequence

Three coordinated project phases

  1. Phase 01

Strategic preparation, project structure & CRM basis

Company and project information is reviewed, existing documents are placed in context and material gaps are identified. In parallel, the organisational basis for documentation, communication and follow-up is created.

  2. Phase 02

Investor-ready documentation & due diligence preparation

The relevant content is structured, reworked in language and brought into a consistent presentation. Depending on the mandate this produces a pitch deck, executive summary, key figure overviews and the basis for possible review processes.

  3. Phase 03

Go-live preparation, network & communication support

Documents, recipients and communication steps are agreed. Zumsteg Consulting supports the organisational initiation of conversations, follow-ups, CRM documentation and the preparation of management. Contact is only made after documented approval by the client.

See the three project phases

Network

A network built over years

Once the documents hold, the question is who should see the project. Zumsteg Consulting maintains its own contact base and an extended network and proposes suitable counterparties from it. Your company makes the selection.

  • 28'000

    institutional investor contacts

held in the internal contact base

  • 100+

    family offices in active support

    in ongoing personal contact

  • 40'000

family offices in the extended network

    reachable through partners and platforms

These figures describe the size of the contact base. They say nothing about results, commitments or whether a financing comes about. Contact is only made after documented approval by the client.

Does this describe you?

You have a project. Will it hold up under review?

You run a company, a group or a project company. The capital requirement is quantified and the project stands. Looking at your documents, you already know they are not yet ready for an institutional reviewer. That is exactly where our work begins. We expect reliable figures, named contacts and approvals that arrive on time.

Responsibility in the advisory work

Raphael Zumsteg

Founder and Managing Director

Capital rarely fails on the idea. It fails on missing structure.

Raphael Zumsteg

Raphael Niki Zumsteg, born in 1998, is the founder and Managing Director of Zumsteg Consulting, an entrepreneur and father based in Switzerland. His professional background is in finance and capital markets, in particular the structuring of corporate financing and the build-up of distribution and investor structures.

He comes from execution and knows both the requirements of family offices and institutional capital providers and the challenges of companies raising professional capital for the first time. That perspective shaped the approach of Zumsteg Consulting: preparing companies so that strategy, figures, documentation and communication form a solid basis for professional capital conversations.

His aim is to bring entrepreneurs to eye level with professional capital providers. Discipline, responsibility, clear execution and discreet collaboration shape every mandate. Zumsteg Consulting stands for individual support, independent advice and a structured preparation that makes companies understandable, reviewable and professionally presentable.

Frequent questions

Questions about working together

Which companies is this collaboration intended for?

The services are aimed at companies and project owners preparing a financing project in a structured way, who can provide the required information, documents, contacts and approvals. The concrete shape of the mandate follows the starting position.

Which information and documents are needed?

This can include company information, financial and business figures, business plans, budgets, forecasts, details on the use of funds, existing presentations and further project documents. The exact scope is defined per project.

Which documents can be produced or reworked?

Depending on the mandate, this can include the pitch deck, executive summary, presentation and information materials, key figure overviews and supporting communication documents — produced or fundamentally reworked.

How does the collaboration run?

The current mandate structure has three coordinated phases: strategic preparation and project structure, investor-ready documentation and due diligence preparation, and go-live, network and communication support.

How is a possible outreach organised?

Zumsteg Consulting can propose possible recipients based on general project-related criteria. The client decides which people or companies are contacted. Recipients, templates and documents are approved in documented form before use.

Who negotiates and who decides?

Substantive investment and financing negotiations, decisions and contract closings take place directly between the client or the issuing entity and the respective third party.

Which services does Zumsteg Consulting not provide?

Zumsteg Consulting does not provide legal or tax advice, audit services, personal investment advice, asset management, investment or transaction broking, and no placement of financial instruments as a standalone service. No investor funds or investment orders are accepted.

What does the international version cover?

In an international mandate the central investor-relevant documents are prepared in German and English. The English version is adapted in language and content for international counterparties; it is not a literal translation.
